General Terms and Conditions for the Styrke Service

1. Parties and definitions

1.1 These general terms and conditions ("Terms") apply between Styrke ("Styrke", "we", "us") and the legal entity entering into an agreement for the Service ("Customer", "you"). Styrke currently operates as a company in formation and therefore does not yet have a company registration number. Until Styrke AB (or an equivalent corporate form) is registered, personal liability for the Agreement is borne by the founder, Ebbe Andersson Mårtensson, in his capacity as a business operator. Upon registration of the company, the company automatically assumes Styrke’s rights and obligations under the Agreement, and these Terms will be updated with the company’s registration number.

1.2 The following terms have the meanings set out below:

  • "Service" means the cloud-based Styrke software, including its AI Agents, and the associated CRM, communication, document management, calendar and customer service features made available to the Customer.
  • "AI Agents" means the automated, AI-powered features of the Service that analyse, compile and take actions based on the Customer’s data.
  • "User" means a natural person authorised by the Customer who has been given access to the Service through an individual account.
  • "AI Licence" means a user authorisation granting full access to the Service, including the AI Agents.
  • "CRM Access" means a free user authorisation granting access to the Service’s CRM, office, document and calendar features, but not to the AI Agents.
  • "Customer Data" means all data, including personal data, that the Customer or its Users enter into or connect to the Service.
  • "Subscription" means the pricing plan and the number of AI Licences agreed upon by the Customer.

2. Formation and scope of the Agreement

2.1 An agreement for the Service is entered into when the Customer and Styrke agree in writing on a Subscription, or when the Customer begins using the Service.

2.2 These Terms, together with the agreed pricing plan and, where applicable, the data processing agreement between the Parties, constitute the entire agreement ("Agreement").

2.3 Styrke provides the Service in accordance with the Agreement. The Service is provided "as is", with the features included from time to time, subject to the limitations set out in these Terms.

3. Licence and right of use

3.1 Provided that the Customer pays the agreed fee and otherwise complies with the Agreement, Styrke grants the Customer a non-exclusive, non-transferable right to use the Service for the Customer’s internal business operations during the term of the Agreement.

3.2 The right of use covers the number of AI Licences specified in the Customer’s Subscription. The Customer may grant CRM Access to additional Users at no separate charge, in accordance with the information provided in the Service from time to time.

3.3 The Customer may not: (a) resell, rent out or otherwise make the Service available to third parties, (b) attempt to circumvent technical restrictions, access controls or usage caps, (c) decompile, reverse compile or otherwise attempt to extract source code, except to the extent permitted by mandatory law, or (d) use the Service to develop a competing product.

3.4 Each User account is personal and may not be shared between multiple natural persons.

4. Customer obligations

4.1 The Customer is responsible for all use through the Customer’s accounts, including use by Users, and for ensuring that Users comply with the Agreement.

4.2 The Customer is responsible for having a lawful basis for the processing of personal data carried out through the Customer’s use of the Service, and for the accuracy of the Customer Data entered.

4.3 The Customer shall keep login credentials secure and notify Styrke without delay if unauthorised access is suspected.

4.4 The Customer shall not enter unlawful content into the Service or use the Service in breach of applicable law or in a manner that may harm Styrke or a third party.

4.5 The Customer acknowledges that the AI Agents’ analyses, recommendations and generated content constitute decision support and may contain errors or omissions. The Customer is solely responsible for decisions and actions taken on the basis of the Service’s output.

5. Functionality and limitations of the AI Agents

5.1 The Service uses AI Agents that, among other things, generate text, analyses and recommendations and may take actions configured by the Customer, such as sending emails. Certain actions require approval by a User before they are carried out, in accordance with the functionality of the Service.

5.2 The AI Agents base their responses on Customer Data and on the underlying language models provided by Styrke’s subcontractor. Styrke does not guarantee that the output is complete, accurate or suitable for a particular purpose.

5.3 The Service does not constitute legal, financial, tax or other professional advice. Output relating to such areas shall be regarded as general decision support and not as advice on which the Customer may rely without conducting its own assessment.

5.4 Styrke works continuously to improve the Service and reserves the right to change, further develop or adjust the functionality of the AI Agents, provided that the Service’s principal functionality is not materially impaired during the current contractual term.

6. Prices, usage caps and payment

6.1 The Customer shall pay the fee applicable under the agreed Subscription. The Subscription includes a fixed number of AI Licences for a fixed monthly fee. CRM Access is included at no additional cost.

6.2 Each AI Licence is subject to a monthly usage cap on the AI Agents’ resource consumption. Usage exceeding this cap ("Excess Usage") is charged in accordance with the price list in force from time to time and invoiced in arrears, unless otherwise agreed by the Parties. The Customer can monitor its usage and request additional capacity within the Service.

6.3 Unless otherwise agreed, the fixed subscription fee is invoiced [monthly / quarterly] in advance, and Excess Usage is invoiced in arrears. Payment terms are net [thirty (30)] days from the invoice date.

6.4 In the event of non-payment, interest on late payment shall accrue in accordance with the Swedish Interest Act (1975:635), together with compensation for payment reminders and debt collection costs as provided by law. In the event of a material delay in payment, Styrke has the right, following a written reminder, to temporarily suspend the Customer’s access to the Service until payment is made.

6.5 All prices are stated exclusive of value added tax and other applicable taxes and charges.

6.6 Styrke has the right to adjust prices for a new contractual term by giving written notice at least [thirty (30)] days before the start of the new term.

7. Intellectual property rights

7.1 All intellectual property rights in the Service, including software, structure, design and underlying technology, belong to Styrke or its licensors. The Agreement does not entail any transfer of such rights, only a right of use pursuant to clause 3.

7.2 The Customer retains all rights to its Customer Data. The Customer grants Styrke a limited right to process Customer Data to the extent necessary to provide and improve the Service for the Customer, and in accordance with the data processing agreement between the Parties.

7.3 Styrke may use de-identified and aggregated data that cannot be linked to the Customer or any natural person to develop and improve the Service.

7.4 Customer Data is not used to train the underlying general-purpose language models provided by Styrke’s subcontractors, except to the extent expressly agreed with the Customer.

8. Availability, support and maintenance

8.1 Styrke endeavours to keep the Service available to the greatest extent practicable, but does not guarantee uninterrupted availability. Where possible, planned maintenance shall be announced in advance and scheduled for periods of low usage.

8.2 Styrke provides support in accordance with the information set out in the Agreement or the Service from time to time.

8.3 Styrke is not responsible for unavailability caused by circumstances beyond Styrke’s control, including faults in the Customer’s equipment or internet connection, or faults at third-party providers that the Customer has itself chosen to integrate with the Service.

9. Personal data

9.1 When Styrke processes personal data on behalf of the Customer within the scope of the Service, the Customer is the controller and Styrke is the processor. Such processing is governed by a separate data processing agreement between the Parties, which forms part of the Agreement.

9.2 Styrke processes personal data concerning the Customer’s contact persons and Users in its capacity as controller for purposes such as administration of the customer relationship, in accordance with Styrke’s privacy policy .

10. Confidentiality

10.1 Each Party undertakes not to disclose to third parties any confidential information received from the other Party, and to use such information solely to perform the Agreement.

10.2 Confidential information means any information that a Party has designated as confidential or that should reasonably be understood to be confidential, including Customer Data, business relationships, technical solutions and prices.

10.3 The confidentiality undertaking does not apply to information that is publicly known, that a Party already knew without any obligation of confidentiality, or that a Party is required to disclose by law, a judgment or a decision of a public authority.

10.4 The confidentiality undertaking applies during the term of the Agreement and for [three (3)] years thereafter.

11. Liability and limitation of liability

11.1 Styrke is liable for direct loss or damage caused to the Customer through Styrke’s negligence, subject to the limitations set out below.

11.2 Styrke is not liable for indirect loss or damage, including loss of profit, lost revenue, loss of data, or loss or damage resulting from decisions or actions taken by the Customer on the basis of the AI agents’ output.

11.3 Styrke’s aggregate liability for damages under the Agreement is, for each twelve-month period, limited to an amount corresponding to the fees paid by the Customer for the Service during the [twelve (12)] months preceding the event giving rise to the loss or damage.

11.4 The limitations of liability in this clause 11 do not apply in cases of wilful misconduct or gross negligence, in the event of a breach of the confidentiality undertaking in clause 10, or to the extent otherwise provided by mandatory law.

11.5 To be enforceable, claims against Styrke must be made in writing without unreasonable delay after the Customer discovered or ought to have discovered the circumstance giving rise to the loss or damage, and in any event no later than within [six (6)] months.

12. Term and termination

12.1 The Agreement takes effect upon its conclusion and continues for the agreed term. If no contractual term has been expressly specified, the Agreement continues indefinitely, subject to [one (1)] month’s notice of termination by either Party.

12.2 If a fixed contractual term has been agreed, the Agreement is automatically renewed for an equivalent period unless terminated by written notice no later than [thirty (30)] days before the end of the period.

12.3 Each Party is entitled to terminate the Agreement with immediate effect if the other Party materially breaches the Agreement and fails to remedy the breach within [thirty (30)] days of a written demand, or if the other Party is declared bankrupt, commences business reorganisation proceedings or may otherwise be presumed to be insolvent.

12.4 Upon termination or expiry of the Agreement, the Customer’s right to use the Service ceases. Customer Data is handled in accordance with clause 13 and the data processing agreement.

13. Handling of Customer Data upon termination or expiry of the Agreement

13.1 For [thirty (30)] days following termination or expiry of the Agreement, Styrke will provide the Customer with the opportunity to export its Customer Data in a structured, commonly used and machine-readable format.

13.2 After this period has expired, Styrke deletes Customer Data in accordance with the data processing agreement, except for information that Styrke is required to retain under mandatory law.

14. Amendments to the Terms

14.1 Styrke is entitled to amend these Terms. The Customer will be notified in writing of material amendments at least [thirty (30)] days before they take effect.

14.2 If the Customer does not accept a material amendment, the Customer is entitled to terminate the Agreement with effect from the time at which the amendment would take effect. Continued use of the Service after the amendment takes effect constitutes acceptance of the amendment.

15. Assignment

15.1 The Customer may not assign the Agreement without Styrke’s written consent.

15.2 Styrke may assign the Agreement to another company within the same group or in connection with a transfer of the business of which the Service forms part, in which case the Customer must be notified.

16. Force majeure

16.1 A Party is relieved of liability for failure to perform a particular obligation if the failure is due to a circumstance beyond that Party’s control which the Party could not reasonably have been expected to take into account and whose consequences the Party could not reasonably have avoided or overcome, including but not limited to war, natural disaster, widespread disruption of public infrastructure or action by a public authority.

17. Governing law and disputes

17.1 The Agreement shall be governed by Swedish law, without application of its conflict-of-law rules.

17.2 The Parties shall first seek to resolve any dispute arising out of the Agreement through negotiations. If they cannot resolve the dispute, it shall be determined by the ordinary courts, with [Stockholm District Court] as the court of first instance.
